1. Who uses IDVERIFY 1-2-3? Who is verified?IDVERIFY 1-2-3 is an online tool designed to help businesses verify identities of individuals. 1.1 Any business can use IDVERIFY 1-2-3 to identity verify individuals. 1.2 Individuals to be verified must be adults (not minors, corporations or other entities).

2. What is IDVERIFY 1-2-3? What are the fees?IDVERIFY 1-2-3 is an identity verification tool and a subscription to it is a time limited, use licence under the Terms of Use.

2.1 Audit Trail2.1.1 Documents are confirmed by submitters to be true copies of identity documents; 2.1.2 Date- and time- stamps of submissions of documents and their reviews; and 2.1.3 Reports • Documents Waiting For Review • Verification Results

2.2 Dashboard (Home) Page2.2.1 Dashboard (Counts Table) reports the number of items requiring attention: • Red highlighted are counts of items which are greater than zero and will actually require actions. • Green highlights are counts equal to zero with no action required. 2.2.3 Pulldown Menus across the top of the screen organize menu items for processing; 2.2.4 Plan usage is summarized beneath the Table; and 2.2.5 Message Centre at the bottom displays notifications from IDVERIFY INC.

2.3 Fees2.3.1 Start Plan: $240 for 30 New Verifications in the 12 months term and scalable according to activities: (All amounts are in Canadian dollars and before applicable taxes) • $240 - up to 30 New Verifications • $600 - up to 80 New Verifications • $1,200 - up to 200 New Verifications 2.3.2 Top Up: Once the maximum number of New Verifications for a fee level is reached, the plan must be topped up. (Top Up is more fully described in the below paragraphs.)

2.4 New Verifications2.4.1 Each New Verification is a request for documents, irrespective if the request email address is valid/correct, identity documents are received for it and/or result of its review. 2.4.2 The number of New Verifications is the number of requests for documents allowed to be made at the respective fee level.

2.5 Payment2.5.1 Payment is via e-Transfer only. The above referred to e-Transfer is "Interac e-Transfer (formerly Interac Email Money Transfer or EMT) [is] a funds transfer service between personal and business accounts at participating Canadian banks and other financial institutions, offered through Interac Corporation." 2.7.1 Start Plan• The Start Plan is the only subscription plan available for joining IDVERIFY 1-2-3. • The term of each Start Plan is for one year from the effective date on the e-signed Terms of Use.

2.7.2 Renewal• Start Plans may be renewed at any time in the last month of the current term. • Functionalities for the renewed term will be available after payment has been received by IDVERIFY INC.

2.8.3 Citrix Workspace• “Citrix Workspace (formerly Citrix Workspace Suite) is a digital workspace software platform developed by Citrix Systems that allows multiple users to remotely access and operate Microsoft Windows desktops running in a datacenter or a public or private cloud, via devices located elsewhere. 3. When is the Start Plan effective? When can it be renewed? How long are Identity documents kept?See below.

3.1 Effective DateEach Start Plan is effective on the Effective Date on its e-signed Terms of Use.

3.2 RenewalRenewal is effective on the anniversary of the Effective Date of the first Start Plan.

3.3 Record Retention3.3.1 Requests for documents, if not fielded at expiry, are removed and discarded. 3.3.2 Documents received are retained for 2 years from the date of receipt. (Documents received are removed to offline storage after they are reviewed.) 3.3.3 Documents received are destroyed 2 years after receipt by IDVERIFY 1-2-3. 3.3.4 Copies of submitted documents may be requested and are subject to an administration fee of $5.00 per document, if request is made more than 6 months after the date of receipt. (Requests for copies of identity documents on file may only be made by subscribers whose accounts are in good standing.)

6.1 In two stepsAn individual can be identity verified in two steps: • Request for identity documents • Review documents received

6.2 You will be promptedThe system will let you know when it is time to top up or renew.

6.2.1 Top Up• The Top Up function, when required, will be shown as a menu item under Pulldown Menu - Verification. • The maximum number of New Verifications will be raised to that of the next fee level after payment has been received by IDVERIFY INC. • The Top Up amount required is the fee of the next level prorated for the number of months remaining (including the one in which the limit is reached). e.g. If the number of New Verifications reached 30 in the fourth month, then the additional fee to top up is [ ($600 - $240) / 12 ] x 9 = $270 plus applicable taxes to scale the subscription to maximum 80 New Verifications including the 30 already used), and so on and so forth.

6.2.2 Renewal• In the last (12th) month of the subscription the Renewal function will be shown as a menu item under Pulldown Menu - Verification. • Each renewal term starts at the base rate of $240 plus applicable taxes for up to 30 New Verifications. • Functionalities under the renewed term will be available after payment has been received by IDVERIFY INC.
